FOR SELLERS

We only sell healthcare businesses.

Independent M&A advice for the owners of care homes, home care agencies, dental practices and clinics across the UK.

There is a lot of noise in this space. We are here because we spotted a gap in it.

Plenty of brokerages will sell anything for anyone, and healthcare sits on their list somewhere between haulage and software. But healthcare is not like other sectors. The regulator sits inside every deal, the buyers are specialists, and what a business is worth turns on things a generalist has never had to price. It deserved better than a place on somebody’s list.

So we built a firm that does nothing else. We drilled into this one sector properly, got to know the owners, the buyers and the people who fund the deals, and built our own picture of the entire market from the ground up. Everything we do, every day, is healthcare.

What we actually do for you

The whole sale, handled.

01

Work out what it is worth

An honest range before anything else happens, with the trading business and any property looked at on their own terms, so you can decide whether to go now or in eighteen months.

02

Get it ready to be seen

The numbers, the story, the staffing picture and the compliance record assembled the way a buyer and their bank will want to read them, with anything awkward dealt with before they find it.

03

Find the buyers, quietly

Direct approaches to the people most likely to pay well, drawn from our own data on the whole sector. Nobody hears your name until they have signed a confidentiality agreement.

04

Run the offers side by side

Competing offers in parallel rather than one after another, with a recommendation on each, so you are choosing between buyers rather than accepting the only one in the room.

05

Hold the deal together

The checking stage is where most sales come apart. We run the document room, answer what is asked, and keep everyone moving while your solicitors do their part.

06

Stay until the money lands

The partner you meet first is the one still there on completion day. You can call or text at whatever hour something is worrying you.

A sale is one of the biggest decisions of your life, and most owners only make it once. That is exactly why it deserves someone who has done it before, working for you and nobody else.

Why us

Three reasons owners choose us.

01

We only do healthcare

We decided early that being genuinely useful in one market beats being adequate in ten. So we know what a buyer pays a premium for in your sector, what they quietly discount, and which questions are coming before they arrive.

02

Buyers nobody else reaches

Most firms sell a business one of two ways. They list it on a marketplace and wait, or they send it round the same network they send everything round. Both reach the same small pool every time, and neither of them is a search. We built our own data on the whole UK healthcare sector, so we go looking for the right buyer rather than hoping they turn up. More buyers at the table is the single thing that moves your price.

03

One partner, start to finish

The partner you meet first prepares the business, makes the approaches, runs the negotiation and is still there on the day the money arrives. You can pick up the phone or send a text at whatever hour something is worrying you, because things do worry you in a sale. We take on a small number of sellers at a time so we can offer that level of service.

Our data

The most detailed picture of the UK healthcare market anywhere.

We hold our own cross-section of the entire sector: every registered business, the people who actually own them, and in most cases how to reach them. It was built through several pipelines over a long time, and nobody else has it. When we sell your business we already know the key players who will want it, we have spoken to many of them before, and we hold the details of the rest. So we go to them directly, engage them properly, and bring what they say back to you.

The process

What happens whenyou sell.

For most of the owners we work with, this is the first time they have sold a business, and quite possibly the only time they ever will. You want someone beside you who has done it before. We walk you through every stage, we tell you what is coming next and why, and at no point should any of it feel daunting. We would not take your business on unless we had every confidence we could sell it.

We start with an honest valuation, with the trading business and any property looked at on their own terms. Your regulatory history gets read the way a buyer will read it, and you get a straight view of how much of the operation still depends on you.

You finish this stage knowing your range, and whether going now or going in eighteen months is the better decision for you.

Most of the value in a sale is created here, before anyone outside the room knows it is happening. The document buyers will read, the trading analysis, the staffing picture and the compliance record all get assembled so a buyer and their bank can see exactly what they are taking on.

Anything that would surprise a buyer later gets found and dealt with now, rather than in month six when it costs you room to negotiate.

Most firms put a business on a marketplace or send it round the same network as last time. We go out deliberately to the buyers most likely to pay a premium for a business like yours, whether or not they were looking that week, and the approach never names you until they have signed a confidentiality agreement.

Your staff, your clients and your commissioners hear about a sale when you decide they should.

We run offers in parallel rather than one after another. How a deal is put together matters as much as the headline number: any property treated on its own terms, money paid later weighted properly, and key staff arrangements settled before they become something to haggle over.

You get a recommendation on each offer, not just a summary of it.

Buyers check everything before they pay, and this is where deals slip. We run the document room, handle questions as they come, and keep the whole thing moving while your solicitors do their part.

When something is on your mind between the milestones, we are the sounding board. You are the client, and what is best for you is the whole job.

Who will buy your business

A wider pool than most owners expect.

The obvious buyer is another operator in your space, and they are certainly on the list. Behind them sits a whole range of investors and groups you may not have thought of. We explore every one of them, because more interest is how value gets maximised.

01

Groups building density

Regional and national operators acquiring well-run businesses to fill gaps in their coverage.

02

Investor-backed platforms

Among the most active buyers in healthcare, often valuing property and trade separately.

03

Property-led investors

Interested where you own the building, sometimes structuring around a sale and leaseback.

04

Experienced operators growing

Families and management teams moving from one site to several through buying rather than building.

What happens next.

If you have read this far, we hope you have a clearer picture of how we work and why owners choose us. The next step is a call with one of the partners.

On that call, a partner will

  • Walk you through the whole process
  • Answer whatever questions you arrive with
  • Give you honest first feedback on your business
  • Explain how a typical engagement runs
  • Give you an indication of what it costs

Nothing to prepare, nothing to commit to, and no obligation at the end of it.

Your questions

Common questions from owners thinking about selling.

Six to nine months is typical from the day you formally appoint us to the day the money arrives. Preparation adds anywhere from three to twelve months on top of that, and that is usually where the most value is built or lost.

Twelve to twenty-four months before you want to go to market is where preparation makes the most difference to what you get. Six months is workable. Less than three months is reactive and almost always leaves money on the table. If the question has crossed your mind it is already worth a conversation.

That is often the moment owners realise they need someone on their side. An unsolicited approach can be flattering, but it is almost always undervalued, because buyers do not pay full price when they do not have to compete. Get advice before the first meeting rather than after it.

Because the things that decide your price are sector-specific. The regulator sits inside every healthcare deal, the buyers are specialists, and a generalist prices those things for the first time on your sale. We price them every week, we know the buyers personally, and our data covers the whole market rather than one corner of it.

Most firms list a business on a marketplace or send it to their existing network, which reaches the same pool every time. We hold our own data on every registered healthcare business in the UK and the people who own them, so we identify the buyers most likely to pay well for yours and approach them directly, whether or not they were already looking.

Plainly and in writing before anything starts. The structure is best explained on a call with a partner, who can also give you an indication of costings for a business like yours. Everything before you appoint us costs nothing, including the valuation and the first conversations.
